There are many questions to ask when it comes to buying a business. For the sake of this blog post, we’ll assume that you — as the prospective business owner — have done your due diligence in determining what kind of business to buy and whether or not that particular business has a viable future.

What To Consider When Buying A Business

  1. First things first: Set up an appointment with your attorney to go over some of the preliminary details of acquiring a business. Your attorney should go over with you a list of things you’ll need in order to prep for the acquisition.
  2. Next, discuss with your attorney your specific plans. For example, will this be a stock purchase? Or will you be buying the actual assets of the business? For obvious reasons, each of these transactions has their own rules and regulations that your attorney can help you understand.
  3. There are even some seemingly “minor” things that you’ll need to know, such as whether or not the business’ trademarks will be transferred to you in the sale. If so, is there any other intellectual property that you’ll need to buy outright (recipes, systems, menu verbiage, etc.)?
  4. Finally, is it necessary to have the business appraised prior to a sale? What are the tax considerations? Are they dependent on whether you finance the purchase or pay with cash? If so, how?
